La responsabilità per abuso di direzione e coordinamento di società: dall’azione risarcitoria al fatto – reato penalmente rilevante

This article analyzes the different kinds of the so-called “responsibility by domain’s abuse”, that is the responsibility whose, of own or others entrepreneurial interest (but anyway not of dominates interest), performs the activity of direction and coordination violating all the criteria of correct entrepreneurial management. The theme is analyzed both from the point of view of the liability for damages and both from the point of view of the bankruptcy’s procedure, especially considering the recent normative changes, that have put the attention particularly on the matter of the groups. In the end the article analyzes briefly the criminal borders of that type of responsibilies.

L’articolo analizza le varie forme della c.d. “responsabilità da abuso del dominio”, ovvero la responsabilità di chi, nell’interesse imprenditoriale proprio o altrui (ma comunque non del dominato), svolge attività di direzione e coordinamento violando i criteri di corretta gestione imprenditoriale e societaria. Il tema è analizzato sia dal punto di vista della responsabilità risarcitoria, sia dal punto di vista delle conseguenze sul piano fallimentare, soprattutto alla luce delle recenti modifiche normative che si sono concentrate sui gruppi di impresa. Concludendo, l’articolo analizza i confini penali di tale responsabilità.
